Terms of Service

1. Service Description

Playbookly is an AI-powered value creation platform designed for small and medium-sized businesses (SMBs). The service allows you to:

• Compare your company's financial performance against your industry.
• Identify performance gaps and profit improvement levers.
• Generate personalized executive analyses using AI.
• Access value creation playbooks inspired by Private Equity methodologies.

Benchmark data is sourced from public filings (SEC, INPI, Canada FPD, IRS SOI) and contains no user data.

2. User Obligations

• Provide accurate and up-to-date financial data.
• Do not upload data belonging to third parties without their express authorization.
• Do not use the service for fraudulent, illegal, or unethical purposes.
• Maintain the confidentiality of your login credentials.
• Do not attempt to circumvent platform security measures.

3. Intellectual Property

• Benchmarking methodology: All benchmarking methodology, algorithms, and models are the exclusive property of Playbookly SAS.
• User financial data: You retain full ownership of your financial data. Playbookly only uses it to provide you with the service.
• AI-generated analyses: Reports and analyses generated by AI are provided “as is” and constitute decision-support tools, not professional advice.
• Platform content: All content (text, graphics, design, code) is protected by copyright and intellectual property law.

4. Limitation of Liability

Playbookly's liability is limited, in all cases, to the total amount actually paid by the user in the 12 months preceding the event giving rise to liability.

5. Service Availability

Playbookly provides the service on a best-effort basis. We do not guarantee:

• Uninterrupted availability or a specific uptime rate.
• The absence of errors or bugs.
• Compatibility with all browsers or devices.

Planned maintenance windows will be communicated in advance whenever possible.

6. Pricing and Payment

• Free tier: Financial benchmark report generation.
• Paid tier: Value creation playbooks, AI-augmented expert guidance (pricing published on the platform).
• Success fees: Performance-based fees under separate agreement, if applicable.

Payments are processed securely via Stripe. All prices are displayed in euros, inclusive of tax unless otherwise stated.

7. Termination

• By the user: You may delete your account at any time via Settings → Data & Privacy → “Delete My Account”. Deletion results in the irreversible removal of your data (see Privacy Policy).
• By Playbookly: We may suspend or terminate your access in cases of abuse, violation of these Terms, or behavior detrimental to the service or other users. You will be notified by email with reasonable notice, except in emergencies.

8. Governing Law and Jurisdiction

These Terms are governed by French law.

In the event of a dispute, the parties agree to seek an amicable resolution through mediation in accordance with the French Consumer Code (Articles L.612-1 et seq.).

Failing amicable resolution, any dispute shall be submitted to the Commercial Court of Paris (Tribunal de Commerce de Paris).

9. Miscellaneous

• If any provision of these Terms is found to be invalid, the remaining provisions shall remain in effect.
• Failure to exercise a right under these Terms does not constitute a waiver of that right.
• These Terms constitute the entire agreement between the user and Playbookly regarding the use of the service.
